1. Eligibility and business use
You must be at least 18 years old, legally able to enter a contract, and acting for a business or commercial venture. United Printworks does not accept consumer orders. You may use the Site only for lawful business purposes.
2. Quotes, orders, and contract documents
A request submitted through the Site is a request for information or a quote, not an accepted order. Unless a quote states otherwise, quotes expire 14 days after issuance and are based on the specifications, quantities, materials, artwork, schedule, delivery terms, and other information then available.
An order becomes binding when we accept it in writing or begin performance after receiving all required approvals, files, information, deposits, credit authorization, or payment. We may decline an order before acceptance.
The documents governing an order are, in descending order of priority unless expressly stated otherwise: (1) a signed written agreement or mutually executed statement of work; (2) the accepted quote or order confirmation, including approved change orders; (3) these Terms; and (4) the Site content. Conflicting terms in a customer purchase order, portal, email footer, or other customer document do not apply unless an authorized United Printworks representative expressly agrees in a signed writing.
3. Customer specifications and changes
You are responsible for complete and accurate specifications, quantities, dimensions, stock, finishes, colors, mailing instructions, delivery details, deadlines, and other order information. Changes may affect price and schedule. We may require written approval of a revised quote or change order before proceeding.
Any date dependent on customer input begins only after we receive all required materials and approvals in usable form. A delay by you may result in a revised completion or delivery date.
4. Artwork, content, and intellectual property
You retain ownership of materials you provide (“Customer Materials”). You grant us and our production, technology, mailing, and fulfillment providers a limited, nonexclusive license to copy, modify, process, transmit, store, display, and use Customer Materials as reasonably necessary to quote, proof, produce, finish, mail, ship, and support your order.
You represent and warrant that:
- you own Customer Materials or have all permissions necessary for the requested use;
- our performance of your instructions will not infringe copyright, trademark, publicity, privacy, confidentiality, or other rights;
- Customer Materials and the requested product comply with law and do not contain unlawful, fraudulent, defamatory, threatening, hateful, or malicious content; and
- any mailing list or personal information you provide was collected and may be used and disclosed for the project lawfully.
We may reject or stop work we reasonably believe is unlawful, unsafe, fraudulent, infringing, technically unsuitable, or inconsistent with our policies. Rejection does not waive amounts owed for authorized work already performed or noncancelable commitments.
Unless a quote expressly provides otherwise, working files, production methods, imposition files, dies, plates, screens, source files, templates, software, know-how, and preliminary concepts created or supplied by us remain our property. Upon full payment, you receive the rights expressly identified in the quote. No transfer of intellectual-property ownership is implied.
5. File preparation and prepress
You are responsible for retaining backup copies of Customer Materials and providing files that meet our stated technical requirements. We may make routine technical adjustments necessary for production but are not responsible for detecting every spelling, grammar, design, resolution, bleed, trim, transparency, font, link, barcode, address, regulatory, or content error.
If we identify a problem, additional prepress, design, data repair, or file-conversion work may be billed at the quoted or then-current rate after notice. We do not promise to retain customer files after an order is complete unless we expressly agree otherwise.
6. Proofs and approvals
A PDF proof showing applicable cut, die, trim, and bleed lines will be provided to you before the applicable press run. The proof allows you to review content, layout, positioning, and other stated attributes before production. You must carefully review all text, numbers, dates, addresses, spelling, images, trim, folds, quantities, specifications, and—where relevant—mailing data.
Once you approve the proof, you authorize us to print and produce the project. You are responsible for errors, omissions, misspellings, incorrect numbers or dates, layout issues, and other matters shown in or reasonably detectable from the approved proof, as well as errors contained in customer-supplied content or data. We are not responsible for those errors after proof approval. Changes after approval may require a new quote, additional charges, and a revised schedule.
Electronic and desktop proofs may not precisely predict final color, texture, finish, substrate, scale, or output. A physical contract proof or press check applies only if expressly included in the quote. Even with a physical proof, commercially reasonable variation may occur between proof and production. Proof approval does not constitute a guarantee of exact color unless exact color matching is expressly included in the accepted quote.
7. Production tolerances and overruns/underruns
Printing, finishing, converting, and mailing involve normal manufacturing variation. Unless the accepted quote specifies tighter standards, the order is subject to commercially reasonable tolerances in color, shade, density, registration, position, trim, folding, cutting, substrate, coating, finish, dimensions, and quantity. Unless otherwise specified in the accepted quote, a press run may be produced as a gang run with other work, and color may shift slightly.
Unless otherwise specified in the accepted quote, you accept an overrun or underrun of up to 10% of the ordered quantity. The delivered quantity will be invoiced at the applicable unit price stated or derived from the accepted quote.
If you require exact color matching, you must state that requirement before accepting the quote and identify the appropriate Pantone color or colors and each location where they apply. Exact color matching requires our express written acceptance and may require different production methods, proofs, press checks, materials, or additional charges. Reorders may vary from prior runs because of gang-run production and changes in paper, ink, equipment, environmental conditions, or manufacturing lots.
8. Prices, taxes, payment, and credit
Prices exclude taxes, shipping, postage, permits, rush charges, storage, special handling, data processing, and third-party charges unless the quote states otherwise. You are responsible for applicable sales, use, excise, and similar taxes unless you provide a valid exemption certificate before invoicing.
Payment terms are those in the accepted quote or approved credit arrangement. We may require a deposit, full prepayment, payment method authorization, or payment before release or shipment. Past-due amounts accrue the lesser of 1.5% per month or the maximum lawful rate, plus reasonable collection costs and attorneys' fees where permitted. We may pause work, withhold delivery, or revoke credit for late payment or reasonable credit concerns.
Postage, freight, custom stock, outsourced services, and other nonrecoverable commitments may require advance payment and may not be refundable after commitment.
9. Cancellation and suspension
You may request cancellation in writing. Cancellation is effective only when we confirm it. If we receive and confirm the request before any work begins and before we incur noncancelable costs, no production charge will apply. Once work begins, all work completed or in process through the effective cancellation time will be charged on a prorated basis. Billable work includes design, collaboration, studio, prepress, proofing, administrative, production-preparation, and other project work, as applicable. You are also responsible for materials ordered, third-party commitments, spoilage, and other nonrecoverable costs incurred through cancellation. Once an order or any portion of it has run on press, that order or portion cannot be cancelled and the full applicable charge is due.
We may suspend or cancel work for nonpayment, missing approvals, unlawful or infringing content, safety or security concerns, customer breach, or circumstances that make performance impracticable. If suspension is caused by you, schedule commitments are void and restart may require revised pricing.
10. Turnaround, shipping, delivery, and mailing
Production and delivery dates are estimates unless an authorized representative expressly guarantees a date in writing. Turnaround begins only after we have accepted the order and received usable files, final proof approval, required data, and required payment or credit approval. Weekends, holidays, shipping time, customer delays, and events outside our reasonable control are excluded unless stated otherwise.
If an order cannot ship within an expressly promised period—or, when legally applicable, within the period otherwise required by law—we will provide any delay notice, cancellation opportunity, or refund required by law.
Unless the accepted quote states otherwise, all shipments are FOB United Printworks' dock. To the maximum extent permitted by law, title and risk of loss pass to you when we tender the shipment to the carrier at our dock. Shipping carriers, postal authorities, and couriers are independent third parties. We are not responsible for their delays, routing, loss, damage, or delivery errors except to the extent caused by our breach or otherwise required by law; we will reasonably assist with available claims.
Postal acceptance does not guarantee delivery by a specific date or to every address. Mailing results may be affected by list quality, address standards, postal rules, and recipient circumstances. You are responsible for the accuracy and lawful use of mailing data unless the quote expressly assigns a task to us.
11. Inspection, claims, remedies, and custom goods
Most printed products are custom-made and cannot be restocked. Except where law requires otherwise, approved custom work is not returnable merely because you change your mind.
Inspect the order promptly. You must notify us in writing of an alleged shortage, damage, defect, or nonconformity by the earlier of seven days after receipt or 14 days after shipment. The notice must include the order number and reasonable documentation. You must preserve the affected goods and allow us a reasonable opportunity to inspect them. Failure to give timely notice waives the claim to the extent permitted by law.
If we confirm a material failure to meet the accepted specifications, our obligation—and your exclusive contractual remedy—will be, at our option, to reperform or reprint the affected portion, provide an appropriate credit, or refund the amount paid for the affected portion. We are not required to replace work containing an error you approved, supplied, or failed to identify in a proof.
12. Limited warranty and disclaimer
We warrant that services will be performed in a professional and workmanlike manner and that products will materially conform to the accepted specifications, subject to approved proofs and stated or commercially reasonable tolerances.
Except for this express warranty and to the maximum extent permitted by law, the Site, Services, and Products are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or completely secure, or that a printed item will achieve a particular marketing, response, delivery, or business result.
13. Limitation of liability
To the maximum extent permitted by law, United Printworks and its owners, affiliates, personnel, and vendors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, revenue, savings, data, use, goodwill, or business opportunity; or the cost of substitute advertising or customer campaigns, arising from the Site or an order, even if advised that such damages may occur.
To the maximum extent permitted by law, our aggregate liability arising from a particular order will not exceed the amount you paid us for the affected portion of that order. Liability arising solely from use of the Site and not an order will not exceed $100.
These exclusions do not apply to liability that cannot lawfully be excluded or limited, including liability for fraud, willful injury, gross negligence where it cannot be limited, or violation of law where waiver is prohibited.
14. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless United Printworks and its owners, affiliates, personnel, and vendors from third-party claims, damages, judgments, penalties, liabilities, and reasonable costs and attorneys' fees arising from: (a) Customer Materials; (b) your instructions or use of the completed products; (c) an allegation that Customer Materials or the requested use infringes intellectual-property, privacy, publicity, confidentiality, or other rights; (d) your mailing list, data, claims, offers, or legal disclosures; or (e) your material breach of these Terms.
We will provide reasonable notice of a covered claim and allow you to control the defense with counsel reasonably acceptable to us, provided you may not settle a claim in a manner that admits our fault, imposes obligations on us, or fails to fully release us without our written consent. We may participate through counsel at our expense.
15. Website ownership and permitted use
The Site and its text, graphics, logos, layouts, software, and other content supplied by us are owned by or licensed to United Printworks and protected by law. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to use the Site for legitimate evaluation and purchase of our services.
You may not:
- access or use the Site unlawfully or to harm others;
- interfere with security, integrity, availability, or operation of the Site;
- introduce malware or attempt unauthorized access;
- scrape, crawl, harvest, or use automated means except as permitted by our robots instructions and law;
- reverse engineer or circumvent access controls, except where a restriction is prohibited by law;
- impersonate another person or submit false information; or
- use Site content or systems to develop a competing dataset, model, or service without permission.
16. Feedback
If you voluntarily submit suggestions or feedback about our services, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you without permission.
17. Privacy and electronic communications
Our Privacy Policy explains our personal-information practices and is incorporated by reference for purposes of Site use. By providing electronic contact information, you consent to receive records and communications electronically where permitted by law. You may retain copies for your records.
If you provide a telephone number with an inquiry or order, you agree that we and our service providers may call or text that number regarding the inquiry or transaction, including through automated technology where permitted. Message frequency varies; message and data rates may apply. Reply STOP to opt out of texts or contact hello@myupw.com. Consent to promotional calls or texts is not a condition of purchase. We will seek separate consent before sending recurring promotional texts where required.
18. Third-party services and links
The Site may use or link to third-party payment, shipping, map, social-media, file-transfer, or other services. We do not control and are not responsible for third-party services, content, terms, availability, or privacy practices. Your use of them may be governed by separate terms.
19. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic, labor disruption, utility or internet failure, cyberattack not caused by failure to use reasonable safeguards, transportation or postal disruption, government action, war, terrorism, civil unrest, supply shortage, or vendor failure. This section does not excuse payment for completed work or eliminate rights that cannot be waived by law. The affected party will use commercially reasonable efforts to mitigate and resume performance.
20. Governing law and disputes
California law governs these Terms and each order, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before filing a claim, the parties will attempt in good faith for at least 30 days to resolve it after written notice describing the dispute and requested relief. Unless applicable law requires otherwise, courts located in Riverside County, California, and the United States District Court for the Central District of California will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.
21. Changes to these Terms
We may update these Terms prospectively by posting a revised version and changing the “Last updated” date. The Terms in effect when an order is accepted govern that order unless the parties agree otherwise. Material changes will not retroactively alter an existing order.
22. General terms
You may not assign an order or these Terms without our written consent, except in connection with a merger or sale of substantially all relevant assets, provided the assignee assumes the obligations. We may use subcontractors and assign to an affiliate or successor.
If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions remain effective. A waiver must be in writing and applies only to the specific instance. Headings are for convenience. “Including” means “including without limitation.” These Terms and the incorporated order documents are the entire agreement concerning their subject matter and supersede prior or contemporaneous discussions on that subject.
